These terms govern your use of this website (https://formidify.ai) only. The Formidify Microsoft Word add-in and the Formidify service behind it (together, the “Beta Software”) are provided under separate agreements — the Beta Test Agreement between Formidify and your firm and the Beta Terms of Use presented for acceptance in the add-in — and not under these terms. To the extent these terms would otherwise conflict with those agreements as to the add-in or the service, those agreements govern. Plain-English summaries appear throughout — they are aids to reading, not substitutes for the terms themselves.

1. Agreement to these terms

These terms are an agreement between you and Formidify, Inc. ("Formidify", "we", or "us"). By accessing or using this website, you agree to these terms. If you do not agree, do not use the website. If you are using this website on behalf of a firm or company, you confirm you have authority to accept these terms for that organization, and "you" includes it.

2. Relationship to the Formidify beta and other agreements

This website provides information about Formidify, a pre-release Microsoft Word add-in that detects and repairs numbering and formatting issues in legal documents, and about the Formidify beta program. Access to and use of the add-in and the service behind it are governed exclusively by the Beta Test Agreement and the Beta Terms of Use, and not by these terms. Nothing on this website grants you any right to access or use the add-in or the service. Your use of Microsoft software and services remains governed by your agreements with Microsoft.

3. Informational purposes; no legal advice; no reliance

The content on this website is provided for general informational purposes about Formidify and its beta program. It is subject to change without notice, and:

  • Website content is not legal advice, and no attorney-client relationship is created by your use of the website.
  • Product descriptions, features, roadmaps, and availability may change, and anything described on the website may differ from any released product.
  • Access to the website is provided free of charge and may be interrupted, suspended, or discontinued at any time.
  • You should not rely on website content as a substitute for the Beta Test Agreement or the Beta Terms of Use, which control the add-in and the service.

4. Intellectual property and use of website content

This website, including its content, design, logos, text, and graphics, is owned by Formidify, Inc. and protected by intellectual-property laws. Subject to your compliance with these terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the website for your own informational purposes. Except for the limited license in this section, no rights are granted to you. You may not:

  • copy, modify, reproduce, republish, or create derivative works of the website or its content, except for transient caching by your browser;
  • frame, mirror, or scrape the website, or extract its content using automated means;
  • sell, sublicense, rent, or otherwise commercially exploit the website or its content;
  • use the website to build a competing product or service, or remove any proprietary notices.

5. Third-party links and privacy

The website may contain links to third-party websites or resources, including Microsoft. We provide these for convenience only and are not responsible for the content, products, or practices of any third-party site. Our privacy policy explains how we handle information collected through this website and forms part of these terms. 6. Your responsibilities

You agree to use the website only for lawful purposes and in accordance with these terms. You will indemnify and hold harmless Formidify and its officers, directors, employees, and agents from any claims, losses, or expenses (including reasonable attorneys' fees) arising from your breach of these terms or misuse of the website. You will not:

  • attempt to gain unauthorized access to the website, any accounts, servers, or networks connected to the website;
  • probe, scan, overload, disrupt, or interfere with the website or its infrastructure, or introduce malicious code;
  • use automated means to access, scrape, or harvest content except as expressly permitted, or use the website in violation of applicable law.

7. Feedback

If you send us comments or suggestions through this website (for example, general inquiries or website feedback), you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, and incorporate them without restriction or obligation to you. Feedback about the Beta Software is governed by the Beta Test Agreement and the Beta Terms of Use, not by these terms. Do not send us confidential, privileged, or client information through the website.

8. Disclaimers

THE WEBSITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ITS CONTENT IS COMPLETE, CURRENT, OR ACCURATE. Any warranties or disclaimers relating to the Formidify add-in or the service are addressed in the Beta Test Agreement and the Beta Terms of Use.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THIS WEBSITE; AND (B) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THIS WEBSITE WILL NOT EXCEED US $100. Liability relating to the Formidify add-in or the service is governed by, and limited as set out in, the Beta Test Agreement and the Beta Terms of Use. Nothing in these terms excludes liability that cannot be excluded by law.

10. Suspension and termination

We may suspend, restrict, or terminate your access to the website at any time, including if these terms are breached. You may stop using the website at any time. Sections that by their nature should survive termination (including 4, 6, 7, 8, 9, and 12) survive it. Termination of access to the add-in or the service is governed by the Beta Test Agreement and the Beta Terms of Use.

11. Changes to these terms

We may update these terms from time to time. Changes take effect when we post the updated terms and update the date at the top of this page. Your continued use of the website after changes take effect means you accept the updated terms.

12. Governing law, venue, and jury waiver

These terms, and any dispute arising out of or relating to them or to this website, are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The state and federal courts located in Broward County, Florida have exclusive jurisdiction over any such dispute, and each party irrevocably consents to personal jurisdiction and venue in those courts. If any provision of these terms is held unenforceable, the remaining provisions will continue in full force and effect.

TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVES ITS RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR TO THIS WEBSITE.
