Terms of Use
These terms govern your use of the Formidify Microsoft Word add-in, the Formidify service behind it, and this website. Plain-English summaries appear throughout — they are aids to reading, not substitutes for the terms themselves.
1. Agreement to these terms
These terms are an agreement between you and Formidify, Inc. ("Formidify", "we", or "us"). By installing or using Formidify, or by participating in the Formidify beta, you agree to these terms. If you are using Formidify on behalf of a firm or company, you confirm you have authority to accept these terms for that organization, and "you" includes it.
2. What Formidify is
Formidify is a software add-in for Microsoft Word that analyzes the formatting of documents you open — heading styles, section numbering, cross-references, and fonts — and applies formatting corrections that you individually review and accept. Formidify requires Microsoft Word and a Microsoft account; your use of Microsoft's software and services is governed by your agreements with Microsoft, not by these terms.
3. Beta status
Formidify is currently provided as a beta. That means:
- Features may change, break, or be removed without notice.
- The service may be interrupted, suspended, or discontinued at any time.
- Beta access is free of charge unless we agree otherwise with you in writing. We will give notice before introducing fees.
- You should keep copies and backups of your documents, and review Formidify's proposed changes before accepting them — the product is designed so that you approve each change and can undo an applied batch with a single undo (Ctrl+Z) immediately after applying.
4. Your license to use Formidify
We grant you a limited, non-exclusive, non-transferable, revocable license to install and use Formidify for your internal business purposes during the beta. You may not:
- copy, modify, or create derivative works of the software;
- reverse-engineer, decompile, or disassemble it;
- rent, lease, sell, sublicense, or redistribute it;
- use it to build a competing product, or remove proprietary notices.
5. Your documents stay yours
You retain all rights in your documents. Formidify claims no ownership of, or license to, the content of any document you use it with. The add-in is designed so that the text of your documents never leaves your machine; what limited structural data the service handles is described in the privacy policy, which forms part of these terms.
6. Your responsibilities
- Review before you apply. Formidify proposes formatting changes; you decide which to accept. You are responsible for reviewing changes and for the final state of your documents.
- Formidify is not legal advice. It is a formatting tool. It does not review, and is not responsible for, the legal substance, accuracy, or effect of any document.
- Account security. Keep your Microsoft account credentials secure; you are responsible for activity under your account.
- Lawful use. Use Formidify only in compliance with applicable law and these terms, and do not attempt to probe, overload, or disrupt the service.
7. Intellectual property
Formidify, including its software, design, logos, and this website, is owned by Formidify, Inc. and protected by intellectual-property laws. Except for the limited license in section 4, no rights are granted to you. Feedback you choose to give us about the product may be used by us without restriction or obligation to you.
8. Disclaimers
The beta is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Without limiting that, we do not warrant that Formidify will detect every formatting issue, that its suggestions will always be correct, or that the service will be uninterrupted or error-free. Documented capability boundaries are listed in the known limitations section of the user guide provided to beta participants.
9. Limitation of liability
To the maximum extent permitted by law: (a) we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from or related to your use of the beta; and (b) our total aggregate liability for all claims relating to the beta will not exceed the greater of the amount you paid us for Formidify in the 12 months before the claim (which, during a free beta, may be zero) and US$100. Nothing in these terms excludes liability that cannot be excluded by law.
10. Suspension and termination
You may stop using Formidify at any time and may request deletion of your stored data (see the privacy policy). We may suspend or terminate beta access at any time, including if these terms are breached or the beta program ends. Sections that by their nature should survive termination (including 5, 7, 8, 9, and 12) survive it.
11. Changes to these terms
We may update these terms during the beta. If we make material changes, we will notify beta participants by email and update the date at the top of this page. Continuing to use Formidify after changes take effect means you accept the updated terms.
12. Governing law, venue, and jury waiver
These terms, and any dispute arising out of or relating to them or to Formidify, are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The state and federal courts located in Broward County, Florida have exclusive jurisdiction over any such dispute, and each party irrevocably consents to personal jurisdiction and venue in those courts.
TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVES ITS RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR TO FORMIDIFY.
